Terms and Conditions for AgbadoApp

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the AgbadoApp mobile application (the "Service") operated by AgbadoApp ("us", "we", or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

1. Definitions

• App/Service: Refers to the AgbadoApp mobile application and all related services provided through it.
• User/You: Refers to the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
• Service Provider(s): Refers to individuals or businesses offering services through the AgbadoApp platform.
• Content: Refers to any text, images, video, audio, or other multimedia content, software, or other information or material submitted to, subsisting on, or accessible from the App.
• Account: A unique account created for You to access our Service or parts of our Service.

2. Eligibility and User Accounts

• Eligibility: To use AgbadoApp, you must be at least 18 years old and capable of forming a binding contract. By creating an account, you represent and warrant that you meet these eligibility requirements.
• Account Creation: When you create an account with us, you guarantee that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.
• Account Security: You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Services Offered by AgbadoApp

AgbadoApp is a platform that facilitates the connection between users seeking various services and independent service providers.

• AgbadoApp as a Facilitator: We act solely as a platform to connect users with service providers. We do not directly provide the services listed on the App. The actual service contract is between you and the Service Provider you choose.
• Independent Service Providers: Service providers are independent contractors and are not employees, agents, or partners of AgbadoApp. AgbadoApp is not responsible for the acts, omissions, or negligence of any service provider.
• No Endorsement: AgbadoApp does not endorse, recommend, or guarantee the quality of work or services performed by any service provider. While we may offer features like ratings and reviews, these are based on user feedback and should not be considered an endorsement.
• Verification: While AgbadoApp may perform certain background checks or verification processes on service providers, we do not guarantee the accuracy or completeness of such checks, nor do we guarantee the reliability, integrity, or qualifications of any service provider. It is solely your responsibility to perform your own due diligence before engaging any service provider.

4. Payments, Fees, and Cancellations

• Payment Processing: All payments for services booked through AgbadoApp will be processed securely via our integrated third-party payment processors. You agree to abide by the terms and conditions of these payment processors.
• Fees: Service fees are determined by the service providers and displayed on the App. AgbadoApp may charge a commission or service fee, which will be clearly communicated to you before you confirm a booking.
• Cancellation Policy: Cancellation policies for services are set by individual service providers and will be displayed at the time of booking. By confirming a booking, you agree to the stated cancellation policy. AgbadoApp may assist in mediating cancellation disputes, but the final decision on refunds or charges will be based on the service provider's policy.
• Disputes: Any payment disputes should first be raised with the relevant service provider. If a resolution cannot be reached, AgbadoApp may offer assistance in mediating the dispute, but we are not obligated to guarantee a specific outcome.

5. User Responsibilities and Prohibited Uses

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• To exploit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation.
• To impersonate or attempt to impersonate AgbadoApp, an AgbadoApp employee, another user, or any other person or entity.
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm or offend AgbadoApp or users of the Service or expose them to liability.

Additionally, you agree not to:

• Use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service.
• Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
• Use any manual process to monitor or copy any of the material on the Service or for any other unauthorized purpose without our prior written consent.
• Use any device, software, or routine that interferes with the proper working of the Service.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
• Attack the Service via a denial-of-service attack or a distributed denial-of-service attack.
• Otherwise attempt to interfere with the proper working of the Service.

6. Intellectual Property

• App Content: The Service and its original content (excluding Content provided by users and service providers), features, and functionality are and will remain the exclusive property of AgbadoApp and its licensors. The Service is protected by copyright, trademark, and other laws of both Nigeria and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of AgbadoApp.
• User-Generated Content: You retain any and all of your rights to any Content you submit, post, or display on or through the Service and you are responsible for protecting those rights. By submitting, posting, or displaying Content on or through the Service, you grant us a non-exclusive, worldwide, royalty-free, fully paid, transferable, and sublicensable right to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. This license is for the sole purpose of operating, developing, providing, and improving the Service and researching and developing new ones.

7. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may do so by contacting us or using the in-app account deletion feature.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Indemnification

You agree to defend, indemnify, and hold harmless AgbadoApp and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall AgbadoApp, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

10. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

AgbadoApp its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

11. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by the courts located in Lagos, Nigeria.

12. Dispute Resolution (Arbitration)

At AgbadoApp's sole discretion, it may require you to submit any disputes arising from these Terms or use of the Service, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the Lagos Court of Arbitration (LCA), applying Nigerian law.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of AgbadoApp to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

15. Entire Agreement

These Terms and Conditions and our Privacy Policy constitute the sole and entire agreement between you and AgbadoApp regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.

16. Changes to These Terms and Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

7. Force Majeure

AgbadoApp shall not be liable for any failure or delay in performance under this Disclaimer and Privacy Policy due to causes beyond our reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

We reserve the right to amend this Disclaimer at any time. We will notify you of any changes by posting the new Disclaimer on this page.
